DEED OF POWER OF ATTORNEY

THIS POWER OF ATTORNEY is given this 1st day of March, 2009 by Mr James Oniru of No 3 Koleayo Street, Lagos, Nigeria (also called "the Donor" which expression shall where the context so admits include her heirs, assigns, executors and successors-in-title) TO Adebayo Okonkwo of Plot 2A King Street, Abuja, Nigeria (also called "the Donee" which expression shall where the context so admits include her heirs, assigns and successor-in-title) of the other part.

WHEREAS:

• The Donor of this power of Attorney is seized of all that piece or parcel of land situate at No.1 Strachan Lane, Bwari, Abuja.
• The Donor is desirous of appointing the Donee as his Attorney in respect of all his interest in the plot by authorizing him to deal with the said plot with a view to giving effect to his desires thereon subject to all relevant laws and regulations.
• This Power of Attorney is irrevocable.

NOW THIS DEED WITNESSES AS FOLLOWS:

I, the Donor hereby appoint the Donee irrevocably to be my Lawful Attorney to perform, execute or do all or any of the following acts or things:

• To represent me, negotiate on my behalf and conclude all arrangement on the sale of my duplex at No. 1 Stratchan Lane, Bwari, Abuja. with Zenith Bank Nigeria Plc.
• I HEREBY ratify and confirm whatsoever the Donee shall do or propose to do pursuant to this instrument.
