CONTRACT ON RETAINING LEGAL COUNSEL

This Agreement for Contract on Retaining Legal Counsel (the "Agreement") is made and effective the [DATE]

BETWEEN: [BENKENNY NIGERIA LIMITED] (the "Client"), a company

organized and existing under the laws of the [State] of [STATE], with its head office located at:

AND: [AKIN OLAWALE Okonkwo ESQ.] (the "Legal

Counsel"), a company organized and existing under the laws of the [State/Province] of [STATE/PROVINCE], with its head office located at:

BENNKENNY NIGERIA LIMITED (the "Client" hereinafter) would like to retain Adebayo Okonkwo (the "Legal Counsel" hereinafter) as its legal counsel, according to Legal Practitioners Act and Rules of Professional Conduct on Legal Counsel in Nigeria. The two parties through consultation hereby agree upon, and shall be bound by, the following terms:

• Legal Counsel will designate [Adebayo Okonkwo], the lawyer employed by Client, to work as Legal Counsel's. Legal counsel will provide legal assistance and protect Legal Counsel's interests vested by law.
• The legal counsel will provide the following services:
• Providing answers to legal questions, and issuing written legal opinion when necessary;
• Assisting in drafting and reviewing contracts and other legal document;
• Participating in contract negotiation on Client's behalf;
• Participating in litigation, non-litigation activities, arbitration, and intermediation;
• Handling other legal matters on behalf of Client.
• Client will contact the legal counsel to decide the time and location each time when service is needed.
• Client shall pay Legal Counsel an annual fee of [AMOUNT]. Additional fee will be charged on an hourly basis for the service of litigation, intermediation, arbitration, and contract negotiation.
• Whenever the legal counsel is on business trip on behalf of Client, all his/her living and travelling expense shall be paid by Client.
• Client shall provide the legal counsel with relevant information, material and appropriate working conditions.
• This contract shall come into effect on the date when it is signed by both parties. The term of this contract is [NUMBER] years.
• This contract shall have two originals and each party will have one. Both copies shall be equally valid.
