CONTRACT SOURCING/FACILITATION AGREEMENT

This FACILITATION AGREEMENT is made this____day of ______2020 BETWEEN:

ABC LIMITED a company duly incorporated pursuant to the Companies and Allied Matters Act Cap C20 Laws of the Federation of Nigeria 2004 with its registered office address at Suite 1, xyz Street, Akoka, Lagos Nigeria (hereinafter referred to as "FACILITATOR" which expression shall where the context so admits include its principals, successors-in-title, Representatives and Assigns) of the one part;

AND

XYZ LIMITED a company duly incorporated pursuant to the Companies and Allied Matters Act Cap C20 Laws of the Federation of Nigeria 2004 with its registered office address at No 6, Abc Street, Victoria Island, Lagos (hereinafter referred to as "The Company" which expression shall where the context so admits include its successors-in-title and assigns) of the other part;

ABC LIMITED and XYZ LIMITED may hereinafter be referred to individually as "Party" and collectively as "Parties".

WHEREAS :

1) "The Facilitator" is a well-known brand in the Export/Import Trade and freight business.

2) "The Company" is willing to invest funds in the exportation business and also have a well-known brand in the Export Trade and freight business to facilitate the Company's relationship with interested local and foreign buyers/suppliers of the company's commodities.

3) "The Facilitator" assures that it is competent to facilitate, source and introduce the company to intended foreign and local buyers of the company's commodities like cashew, charcoal, etc

4) The Facilitator and the Company hereby agree to this Agreement in order to define their rights, interest, relation, liabilities and obligations subject to the terms, conditions and fee arrangement hereinafter set forth.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

CONSIDERATION :

1. In consideration of this Agreement between parties, the Company shall pay the sum of $10,000 (Ten Thousand Dollars) only to the Facilitator/Consultant, the receipt of which the Facilitator shall acknowledge as an annual retainer fee.
