DIRECTORS SERVICE CONTRACT

THIS DIRECTORS SERVICE CONTRACT is made on the .....day ...., 2020, ABC Ltd whose registered office is situate at No 1, xxxxxxxxx, Lagos State ("the Company"); and Ade Nnamdi of No. 1, xxxxxxxx, Lagos State ("the Employee").

IT IS HEREBY AGREED AS FOLLOWS:

1. INTERPRETATION

(1). In this agreement the following terms shall have the following meanings: "Board" the board of directors of the Company including any committee of the Board duly appointed by it; "Client" any person, firm, company or organization with whom the Employee had contact or about whom he became aware of or informed in the course of his employment:

(a) who shall in the three months prior to the Termination Date be or have been negotiating with a Group Company for the supply of any Restricted Products or the provision of any Restricted Services; or

(b) to whom a Group Company shall at any time during the period of twelve months prior to the Termination Date have supplied any Restricted Products or provided any Restricted Services;

Confidential Any trade secret or other information Information: which is confidential or commercially sensitive and which is not in the public domain (other than through the wrongful disclosure by the Employee) and which belongs to any Group Company (whether stored or recorded in documentary or electronic form) and which (without limitation) relates to the business methods, management systems, marketing plans, strategic plans, finances, new or maturing business opportunities, marketing activities, processes, inventions, designs or similar of any Group Company, or to which any Group Company owes a duty of confidentiality to any third party and Including in particular.

Employee An Invention conceived, developed and/or Invention: recorded in whole or part by the Employee In the course of the Employment, or otherwise arising in whole or part out of the work of the Employee done in the course of the Employment (including work done by the Employee in the course of the Employment outside normal working hours, away from the Company's premises and/or without using the Company's resources);
