EXPRESSION OF INTEREST IN THE MERGER SCHEME

I am directed by the Board of Directors of the above named company to formally express the interest of the company to undertake a corporate restructuring that will involve the two companies.

We are well informed that your company is a viable company in the Sugar Processing market and its capital base has grown rapidly in the last few years with its good will.

We therefore propose a merger between Gold Palm PLC and KENNYBABE Nigeria Ltd which we believe will be a productive one. We therefore express our desire to merge with your company as proposed in the scheme of merger. Please find attached the proposed scheme of merger.
