IRREVOCABLE POWER OF ATTORNEY

BY THIS IRREVOCABLE POWER OF ATTORNEY dated this........ day of ............ 2020, ADE MUSA of No. 1, xxxxxxx, Lagos state (hereinafter called "the Donor") which expression shall where the context so admits include its heirs, successors-in-title and/or assigns of the one part, hereby appoints ABC NIGERIA LIMITED, a company incorporated under Part A of the Companies and Allied Matters Act with its head office located at N0. 2, xxxxxxxx, Lagos (hereinafter called "the Donee") which expression shall where the context so admits include his successors-in-title and/or assigns of the other part, its Attorney in its name and on its behalf to execute all act and any of the acts and things following:

1. To take possession of Plot of Land measuring 4000.6sqm and lying and situate at Plot 1, xxxxxxx, xxxxxx Local Government Area, Lagos State (hereinafter called "the Property"), more particularly described in the schedule herein.
2. To take over from me and take all necessary steps and do all things that I am required to do pursuant to the said Right of Occupancy granted to me, in his capacity as my Attorney; sign, execute and attest all letters, notices, processes and other documents and give all necessary instructions, authorization and consent for the purpose of safeguarding and protecting my rights and interests over the property.
3. To enjoy all the Rights, Title and Interests together with all building and improvements on the Plot, and the full benefits thereof and all remedies for enforcing same.
4. To warn off, and prohibit and if necessary, proceed against, in due form of law, all trespassers on the property and to take appropriate steps whether by legal action or otherwise to abate the nuisance.
5. To lease, mortgage, assign and/or transfer same to any person or organisation and to make application for approval to the appropriate authority where required by any existing law or any law that may from time to time be passed.
6. To execute all instruments and do all other acts not herein specifically mentioned which are incidental or ancillary to the due performance of the obligations mentioned herein or which in the opinion of the Donee may be necessary or convenient for the fulfilment of or compliance with the foregoing purposes, as it shall affect the property, fully and effectually as I could do myself.
