DEED OF SALE

THIS SALE AGREEMENT is made this............day of..................2020

BETWEEN

MR ADE MUSA of No. 1, xxxxxxxx, Lagos state (hereinafter referred to as the "SELLER"), which expression where the contexts so permit shall include his heirs, privies, successors-in-title, personal representatives, agents, assigns or anyone acting for or on his behalf, of the one part

AND

ABC NIGERIA LIMITED, a company incorporated under Part A of the Companies and Allied Matters Act with its head office located at N0. 2, xxxxxxxx, Lagos (hereinafter called the "BUYER") which expression where the contexts so permit shall include his heirs, privies, successors-in-title, personal representatives, agents, assigns or anyone acting for or on his behalf, s of the other part.

WHEREAS:

1. The Seller is the lawful and beneficial owner of all that plot of land measuring 4000.6 sqm and lying and situate at Plot 1, xxxxxxx, xxxxxx Local Government Area, Lagos State (Hereinafter referred to as "the Property").
2. The Seller is desirous of transferring all its interest and title over the said property to the Buyer who hereby consents to same.

IT IS HEREBY AGREED AND DECLARED AS FOLLOWS:

1. In consideration of the sum of N50,000,000.00 (Fifty Million Naira) only paid by the buyer to the seller (the receipt of which the Seller hereby acknowledges).
2. The Seller as the lawful owner of the said property shall transfer possession unto the Buyer with the particulars of the said property.
3. The Seller shall handover immediately to the Buyer all title documents and any other documents relating to the said property and if he defaults in the payment, he shall peacefully give up possession of the property to the Seller.
4. The Seller warrants and represents that he has got legal title, full authority to sell and transfers the property and same is hereby sold, free from all liens, encumbrances, liability and any adverse claims of every nature and description.
5. The Seller further warrants that he can fully defend, protect, indemnify and hold harmless the buyer and her lawful successors and assigns from any and all adverse claims that may be made by third party on the property.
6. This Agreement shall be Binding upon and to the Benefits of the Parties, their Successor-in-Title and Assigns.
