EXPORT CONSULTANCY AGREEMENT

This EXPORT CONSULTANCY AGREEMENT is made this____day of ______2020

BETWEEN :

ABC LIMITED a company duly incorporated pursuant to the Companies and Allied Matters Act Cap C20 Laws of the Federation of Nigeria 2004 with its registered office address at Suite 1, Xyz Road, Akoka, Lagos Nigeria (hereinafter referred to as "CONSULTANT" which expression shall where the context so admits include its principals, successors-in-title, Representatives and Assigns) of the one part;

AND

XYZ LIMITED a company duly incorporated pursuant to the Companies and Allied Matters Act Cap C20 Laws of the Federation of Nigeria 2004 with its registered office address at No. 1, Abc Crescent, Wuse 2, Abuja, Nigeria (hereinafter referred to as "THE COMPANY" which expression shall where the context so admits include its successors-in-title and assigns) of the other part;

ABC LIMITED and XYZ LIMITED may hereinafter be referred to individually as "Party" and collectively as "Parties".

WHEREAS:

1) "The Consultant" is a well-known expert consultant in the Export/ import trade and freight business.

2) The Company is into general export business.

3) "The Company" is willing to have an expert consultant in the Export/import trade and freight business serve in many capacities and foster the relationship between the Company and its Costumers.

4) "The Consultant" assures that it is competent to function in the capacities required by the Company.

5) The Consultant and the Company hereby agree to this Agreement in order to define their rights, interest, relation, liabilities and obligations subject to the terms, conditions and fee arrangement hereinafter set forth.

NOW THIS AGREEMENT WITNESSETH AS FOLLOWS:

1. CONSIDERATION:

1.1 In consideration of this Agreement between parties, the Company shall pay the sum of $5000 (Five Thousand Dollars) only to the Consultant, the receipt of which the Consultant shall acknowledge as an annual Consultancy Fee.

1.2 The annual consultancy fee shall be structured and paid as follows:

i. The sum of N 500,000 (Five Hundred Thousand Naira) only shall be paid on or before the day of the execution of this Agreement. This shall be calculated and deducted from the annual consultancy fee upon conversion to the prevailing parallel market rate.
