HUMAN RESOURCES CONSULTING RETAINERSHIP AGREEMENT

THIS RETAINERSHIP AGREEMENT is made this .... Day of ........., 2020

BETWEEN

ABC LIMITED a Company duly incorporated under the Companies and Allied Matters Act with its registered office address at________(hereinafter referred to as "The Client") which expression shall where the contexts so permits include its principals, successors-in-title, representatives and assigns of the first part.

AND

XYZ LIMITED a Company duly incorporated under the Companies and Allied Matters Act with its registered office address at________(hereinafter referred to as "The Human Resources Consultant") which expression shall where the contexts so permits include its principals, successors-in-title, representatives and assigns of the second part.

WHEREAS:

1) "The Client" as a company is desirous of the services of a Human Resources Consultant on a retainership basis in order to aid the overall development and welfare of its employees.

2) "The Human Resources Consultant" is a Firm of HR recruiting professionals who provide outsourced HR recruiting and HR staffing services.

3) The Client and The Human Resources Consultant have agreed to a Human Resources retainership agreement subject to the terms and conditions hereinafter set forth:

NOW IT IS HEREBY AGREED AS FOLLOWS:

1. LIFE SPAN OF AGREEMENT

This agreement shall become effective upon the date of its execution (which shall be the date and year first above written) and shall continue to be in force (unless terminated in any of the manners provided hereinafter) for an initial term of two (2) years from the said date and upon the expiration of the initial term of two (2) years, shall be renewable for a term of one (1) year ("Renewal period") and shall continue to be in force subject to any proviso for determination contained in this agreement.

2. CONSIDERATION

2.1 In consideration of the foregoing Agreement, the Client shall pay the HR Consultant the sum of N 750,000.00 (Seven Hundred and Fifty Thousand Naira) only the receipt of which the consultant shall acknowledge for the outsourcing of the project to the HR Consultant for an initial duration of between 4-6 weeks.
