NOTICE OF 7TH ANNUAL GENERAL MEETING

NOTICE IS HEREBY GIVEN that the Seventh Annual General Meeting of members of KENNYBABE Nig. Limited will be held at the Conference/Banquet Hall, Sheraton Hotels and Towers, Maitama, Abuja on 7TH February 2015 at 11.30 am to transact the following business.

Ordinary Business

• To receive and consider the financial statement for the year ended 31st December together with the Directors and Auditors' Report thereon. (To receive the Report of the Audit Committee)
• To declare a final dividend

Special Business

• To approve the remuneration of the Directors.
• To consider and if thought fit pass the following resolution which will be proposed as an ordinary resolution:

"That the authorized share capital of the company be and it is hereby increased to N1,500,000 by the creation of 500,000 new ordinary shares of one Naira each ranking the same in all respects with the existing ordinary shares of the company."

NOTE:

(1) Proxy: A member of the company is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member. A form of proxy is enclosed and if it is to be valid for the purpose of the Meeting, it must be completed, stamped, and deposited at the Registered Office of the company at 35, Marina Lagos not less than 48 hours before the time fixed for holding the meeting.
