PETITION FOR WINDING UP OF KENNYBABE NIGERIA LIMITED

The humble petition for the winding up of KENNYBABE Nigeria Limited, a company incorporated under the Companies and Allied Matters Act 1990, whose registered address is located at No 1 KENNYBABE Close, Kano State by NAT WEST BANK PLC, a financial Institution incorporate under the Companies and Allied Matters Act whose registered address is situated at No. 1 Meridian Street, Off Maple Way, Garki, Abuja states as follows:

• The above-named company also called "the Company was incorporates as a company limited by shares under the Companies and Allied Matters Act.
• That the registered office of the company is situated at No 1 KENNYBABE Close, Kano State.
• That the object for which the company was established was the manufacturing, processing and exporting of sugar within and outside the country and as set out in paragraph 3 of the memorandum of association of the company.
• The Share Capital of the company is N 5,000,000,000.00 (Five billion Naira) divided into 5 billion ordinary shares of N1.00 each .
• Your petitioner states that on 3rd day of February 2001, the company borrowed the sum of N55,000,000.00 (Fifty five Million Naira) from the petitioner as a mortgage under a deed duly executed between the petitioner and the company fro the purpose of finance the setting up of its sugar factory.
• That the mortgage sum taken by the company had become due for payment since December 2005.
• Your Petitioner humbly pray the court for the following RELIEFS:
• That the affairs of the company be wound up as provided under the

Companies and Allied Matters Act;

• That a liquidator b appointed by the court to effect the winding up and settlement of the mortgage sum owed the petitioner.
